Terms of service
For contracts with businesses and professional practices. Last updated: September 2026.
1. Scope and parties
These terms apply to all contracts between Plainbase GbR, Zugmantelstr. 34B, 65510Idstein, Germany (“we”, “us”), offering its services under the Plainbase brand, and its customers.
Our services are offered exclusively to businesses and professional practices, in particular law firms, medical and dental practices, accounting and tax advisory firms, and other self-employed professionals or commercial enterprises. We do not enter into contracts with consumers.
Deviating or supplementary terms of the customer become part of the contract only if we expressly agree to them in writing (including email).
2. Preview and conclusion of contract
The website concept (preview) and the information on our website are non-binding and do not constitute an offer in the legal sense. Viewing the preview is free of charge and creates no obligation.
On request, the customer receives a quote in writing stating the scope of services and a fixed price. The contract is concluded when the customer confirms this quote in writing, for example by email.
3. Services
We complete the website on the basis of the preview. The exact scope follows from the quote. One round of revisions is included. Further changes, additional pages, and later content updates are charged separately by prior agreement.
Without a hosting agreement, we hand over the website as a complete package for installation with the customer’s own provider. With a hosting agreement, we publish it on the customer’s domain.
We do not provide legal advice. Legal notices, privacy policies, and any disclosures required by professional regulations are included according to the customer’s instructions; the customer is responsible for their accuracy and completeness.
4. Customer cooperation and content
The customer provides the required information, content, and approvals in a timely manner. The customer warrants that they hold the rights necessary for publication of all content they supply or approve (text, images, logos) and indemnifies us against third-party claims arising from a breach of this warranty.
Delays caused by missing cooperation extend any stated completion times accordingly.
5. Acceptance
After the round of revisions, we make the website available for approval. The customer reviews it and declares acceptance in writing. The website is deemed accepted if the customer publishes it or does not report significant defects in writing within 14 days of it being made available; we point this out when we make it available.
6. Prices and payment
Prices are quoted in US dollars and exclude any applicable taxes. Where German value-added tax applies by law, it is shown separately on the invoice. We invoice the website fee after acceptance. Hosting fees, if agreed, are invoiced monthly in advance. Invoices are payable within 14 days without deduction.
7. Hosting
A hosting agreement runs for an indefinite period and can be terminated by either party in writing with 14 days’ notice to the end of a month. The right to terminate for cause remains unaffected.
We operate the website with carefully selected infrastructure providers and aim for high availability, but do not owe a specific availability level. Maintenance work and disruptions outside our control are reserved.
If the customer is in arrears with two monthly fees, we may temporarily suspend the website after prior notice in writing. After the agreement ends, we hand over the current website package to the customer on request.
Where we process personal data on behalf of the customer as part of hosting (for example through a contact form), the parties conclude a data processing agreement under Article 28 GDPR.
8. Rights of use
Upon full payment of the fee, the customer receives the unlimited right, in time and territory, to use, modify, and operate the website for their business with a provider of their choice. For design components, templates, and program code that we also use for other projects, this right is non-exclusive. Third-party components (such as fonts, icons, or open-source software) remain subject to their own license terms.
Until full payment, publication is permitted only with our consent.
9. Defects
In the event of defects, we will first remedy them. If this fails, the customer has the statutory rights. Claims for defects become time-barred one year after acceptance; this does not apply to the cases of unlimited liability listed in section 10.
10. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body, or health, under the German Product Liability Act, and within the scope of any guarantee we have given.
In the case of slightly negligent breach of a material contractual obligation (an obligation whose fulfillment makes proper performance of the contract possible in the first place and on whose fulfillment the customer may regularly rely), our liability is limited to the foreseeable damage typical for this type of contract. Otherwise, liability for slight negligence is excluded.
11. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is our registered office.
Amendments and additions to the contract must be made in writing (including email). Should any provision be invalid, the validity of the remaining provisions remains unaffected.
